These Terms and Conditions govern your use of the TeaX Global website and any commercial engagement with TeaX Global Ltd or its advisory division, TeaSage. By accessing this website or submitting an enquiry, you accept these Terms.

Acceptance of Terms

By accessing teaxglobal.com or engaging with TeaX Global Ltd (company incorporated in Kenya), you agree to be bound by these Terms and Conditions. If you do not agree, please do not use this website or our services.

Services

TeaX Global Ltd operates two service lines:

TeaX Global Trading: sourcing, export and sale of Kenyan teas including specialty, orthodox, purple, green, white and CTC black teas.
TeaSage Insights: market intelligence, advisory, factory audits, buyer due diligence, sustainability advisory, training and research publications.

All services are subject to separate commercial agreements, quotations or service agreements entered into in writing.

Trading Terms

Quotations are valid for 14 days from the date of issue unless otherwise stated.
Orders become binding only upon written confirmation from TeaX Global Ltd and receipt of any agreed deposit.
Prices are quoted in USD unless otherwise agreed. Prices exclude freight, insurance and applicable taxes unless explicitly stated.
Incoterms: default delivery terms are FOB Mombasa unless otherwise agreed in writing.
Payment terms are as stated in the commercial invoice. Late payment may attract interest at 2% per month.
Minimum Order Quantities (MOQs) apply as stated in our product catalogue and quotations.
Quality: all teas are inspected prior to shipment. Claims must be submitted within 14 days of receipt with supporting laboratory analysis.
Samples: samples are provided at our discretion and do not constitute a binding offer to supply at the same specification at scale.

TeaSage Consultancy Terms

Engagement: All TeaSage consultancy services require a signed service agreement or statement of work.
Confidentiality: Both parties agree to treat commercially sensitive information as confidential for the duration of the engagement and for 3 years thereafter.
Reports and research: TeaSage research reports and publications are provided for informational purposes only and do not constitute financial, legal or investment advice.
Training programmes: Materials remain the intellectual property of TeaSage. Participants may not reproduce or redistribute them without written consent.
Fees: Consultancy fees are as agreed in writing. Cancellation with less than 7 days notice may be subject to a cancellation fee.

Intellectual Property

All content on this website, including text, images, logos, research reports, training materials and the TeaSage brand, is the property of TeaX Global Ltd unless otherwise stated. You may not reproduce, distribute or use our content without prior written permission.
The TeaSage logos and brand marks are registered trademarks of TeaX Global Ltd.

Limitation of Liability

To the maximum extent permitted by law:

TeaX Global Ltd’s total liability arising from any claim in connection with our services shall not exceed the fees paid by you in the 12 months preceding the claim.
We are not liable for indirect, consequential or loss-of-profit damages.
Market intelligence and research published by TeaSage is provided in good faith. We make no warranty that it is complete, accurate or current, and we are not liable for decisions made in reliance on it.
We are not liable for delays or failures caused by events outside our reasonable control (force majeure), including weather, port closures, shipping disruptions or regulatory changes.

Data Protection

We process personal data in accordance with our Privacy Policy and Kenya’s Data Protection Act 2019. By submitting an enquiry form, you consent to us contacting you about your request.

Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any dispute shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya, unless both parties agree in writing to an alternative dispute resolution mechanism.

Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use of the website or our services after changes are posted constitutes acceptance of the revised Terms.
